Terms and conditions

These terms and conditions (the “Terms”) govern the use of www.gilesip.com (the “Site”), including the GIP client portal. The Site is owned and operated by Giles Innovative Products, LLC (“GIP”, “we”). By using the Site you indicate that you have read and understood these Terms and agree to abide by them at all times.

These Terms contain a dispute resolution clause that affects your rights about how to resolve disputes. Please read it carefully.

Intellectual property

All content published and made available on the Site is the property of GIP and the Site’s creators. This includes, but is not limited to, images, text, logos, 3D models, documents, downloadable files and anything else that contributes to the composition of the Site. Drawings, estimates and other project documents made available to a client through the portal remain GIP’s instruments of service and are provided for that client’s project only, under the terms of the estimate or agreement covering the work.

Acceptable use

As a user of the Site, you agree to use it legally, not to use it for illegal purposes, and not to:

• violate the intellectual property rights of GIP or any third party;
• act in any way that could be considered fraudulent;
• attempt to access portal projects, documents or accounts you have not been given access to, or share a portal sign-in link with anyone else.

If we believe you are using the Site illegally or in a manner that violates these Terms, we reserve the right to limit, suspend or terminate your access to the Site, and to take any legal steps necessary to prevent you from accessing it.

The client portal

The portal is made available to contacts that a GIP project manager has added to a project. Sign-in is by a link emailed to the address on file; you are responsible for keeping that email account secure. Actions taken in the portal under your sign-in — accepting, declining or requesting changes to an estimate, confirming receipt of a release, or asking and answering questions — are recorded with your name and the time and are treated as your actions. Accepting an estimate in the portal has the same effect as returning a signed copy. We may remove portal access, or suspend the portal for maintenance, at any time; the project record is retained by GIP regardless. The portal is provided as a convenience alongside, not instead of, the communication required by your project agreement.

Links to other websites

The Site contains links to third-party websites or services that we do not own or control. We are not responsible for the content, policies or practices of any third-party website or service linked from the Site. It is your responsibility to read the terms and conditions and privacy policies of those websites before using them.

Limitation of liability

GIP and our directors, officers, agents, employees, subsidiaries and affiliates will not be liable for any actions, claims, losses, damages, liabilities or expenses, including legal fees, arising from your use of the Site.

Indemnity

Except where prohibited by law, by using the Site you indemnify and hold harmless GIP and our directors, officers, agents, employees, subsidiaries and affiliates from any actions, claims, losses, damages, liabilities and expenses, including legal fees, arising out of your use of the Site or your violation of these Terms.

Applicable law

These Terms are governed by the laws of the State of Alabama.

Dispute resolution

Subject to any exceptions specified in these Terms, if you and GIP are unable to resolve any dispute through informal discussion, you and GIP agree to submit the issue to an arbitrator. The decision of the arbitrator will be final and binding. Any arbitrator must be a neutral party acceptable to both you and GIP. The costs of any arbitration will be shared equally between you and GIP.

Notwithstanding any other provision in these Terms, you and GIP agree that you both retain the right to bring an action in small claims court and to bring an action for injunctive relief or intellectual property infringement.

Severability

If at any time any of the provisions set out in these Terms are found to be inconsistent or invalid under applicable law, those provisions will be deemed void and removed from these Terms. All other provisions will be unaffected and the rest of these Terms will remain valid.

Changes

These Terms may be amended from time to time to maintain compliance with the law and to reflect changes to the way we operate the Site and the way we expect users to behave on it. We will post the updated Terms on this page with a new effective date and, for changes that affect portal users, note them in the portal.

How we handle the information collected through the Site and the portal is described in our privacy policy.
